PUBLISHER PARTNER MEMBERSHIP AGREEMENT

This Publisher Partner Membership Agreement, together with applicable Schedules (the "Agreement") is by and between Publisher Partner (or "You") and Supplier. BY CLICKING ON THE ACCEPT BUTTON, YOU AGREE TO THE TERMS OF THIS AGREEMENT. Any use of the Supplier Network is subject to the terms of this Agreement and the Network Policies found here.

Defined terms shall have the meaning set forth in Schedule A.

1. MEMBERSHIP REQUIREMENTS

1.1 Membership. To participate as a Publisher Partner in Supplier's Network, You must:

a. be either a legal entity or an individual 18 years or older; and

b. your activity on the Network must comply at all times with applicable laws, regulations, and Network Policies.

1.2 Membership Restrictions.

a. Business Use Only.

b. User-requested Benefit.

c. Not a Provider of Goods and Services.

d. Prohibited Activities.
